Haslyna Hashim

HASLYNA HASHIM possesses a strong background in commercial matters, having experience both as practising lawyer as well as in-house counsel. Her main expertise is in the areas of technology, intellectual property and communications law. 

Having a keen interest in technology from her younger days, Haslyna graduated with an LLB in Law with Computing from the University of Kent in 1996 under a Malaysian Government scholarship. In order to specialise in technology law, Haslyna joined Zicolaw's (then Zaid Ibrahim & Co.) Technology Practice Group in 2000, the biggest technology law practice in the country at the time. Thereafter, she joined Azmi & Associates, eventually heading the Multimedia, Technology & Intellectual Property Practice Group in 2006.

Haslyna's first position as corporate counsel was for multi-national company, British American Tobacco (BAT). As legal counsel for BAT's Business Development department, she advised on brand integrity and enforcement, and was involved in anti-counterfeiting and anti-smuggling efforts for the company's products. Thereafter as Head of Legal for JARING Communications Sdn Bhd, the country's first internet service provider, she gained invaluable exposure and to the inner workings of the ICT industry.

Haslyna has considerable experience in agreement structuring, drafting and negotiations for both general commercial transactions (e.g collaboration/joint venture, concession, distributorship/marketing), as well as ICT/IP-centric transactions (e.g. supply of IT products/services, maintenance, service level, licensing, outsourcing, systems integration etc). Haslyna also advises on IP protection and registration, and is a qualified patent and trade mark agent.

Haslyna's more notable assignments include:-
(i) Advising a Malaysian regulatory body regarding the offence of online sedition, applicability of existing laws as well as necessity of new laws
(including drafting relevant provisions to amend governing act);

(ii) Advising on and drafting a grant of rights agreement in respect of a privately funded initiative between the Malaysian Government and a company listed on the ACE market, with regards to a national IT entry point project (EPP) under the National Key Economic Areas (NKEA);

(iii) Advising on and drafting back-to-back agreements for a Malaysian government-linked company (GLC), in respect of the transfer and commercialization of technology and patents owned by a foreign university to a Malaysian government body;

(iv) Advising an MSC company, including drafting and negotiating the concession agreement, for a concession worth RM5.6 billion awarded by the Government for the implementation of human resource training via electronic methods;

(v) Advising a multi-national corporation on the licensing requirements for Very Small Aperture Terminal (VSAT) satellite equipment in Malaysia, Indonesia and Brunei, where satellite service, equipment and installation is provided by a non-local party;

(vi) Advising and reviewing agreements for a London Stock Exchange-listed company on a cross-border transaction relating to an internet data centre facility located in Indonesia, and subsequent acquisition of shares in the business by an international investment fund;

(vii) Advising a telecommunications company in respect of its 3G mobile communications operations; including drafting and negotiating the master agreement, infrastructure sharing agreement, outsourcing agreement, service level agreement, roaming agreement, product performance agreement and mobile virtual network operator (MVNO) agreement;

(viii) Advising a subsidiary of a telecommunications company on a suite of agreements in relation to a kiosk-related product; including drafting and negotiating the technology transfer agreement, technical services agreement, licensing and systems integration agreement, service location agreement and service connectivity agreement;

(ix) Advising an MSC company on a suite of agreements in relation to the commercialisation of products created under a smart school project, including drafting and negotiating the relevant agreements;

(x) Advising an MSC company on a suite of agreements for its open source software product including drafting its end user licence agreement, intellectual property notices and website terms and conditions. Also provided advice on possible legal risks for open source software and recommended best practices for the same;

(xi) Advising a financial institution on the systems integration and implementation of a new applications system, the centralization and outsourcing of their IT services, which included drafting and negotiating the relevant agreements;

(xii) Advising the ICT arm of a multi-national company on the legal risks and aspects of e-commerce transactions including providing recommendations on best practices;

(xiii) Advising an ICT company on the joint development and international distribution of software with a foreign company, including reviewing the development and distributorship agreement;

(xiv) Advising an MSC company on the infringement of copyright in their software product, pertaining to derivative works created from the same, including handling negotiations with the alleged infringers;

Haslyna returned to legal practice in December 2010 to become the Partner for the Firm's Technology, Communications & Media Practice Group.
